These terms are an agreement between [REGISTERED COMPANY NAME AND ADDRESS] (“TiDani”, “we”, “us”) and the organisation that creates a TiDani workspace, and each person who uses it. [WHO THE CONTRACTING PARTY IS, AND WHETHER A SEPARATE ORDER FORM OR CUSTOMER AGREEMENT TAKES PRECEDENCE: TO BE SET WITH LEGAL ADVICE.]
1. The service and who may use it
TiDani lets the people in an organisation ask questions in plain words about documents kept on their own computers, and get answers that show their sources. It consists of the desktop app, the web app and our cloud service (together, “the service”).
The service is for organisations and the people they invite, acting for work. It is not for children, and you must be at least [AGE] to use it. If you create a workspace for an organisation, you confirm that you are allowed to accept these terms on its behalf.
2. Accounts and workspaces
- Your account. Give accurate details, keep your password and sign-in codes to yourself, and tell us at security@tidani.tech if you think someone else has used your account. You are responsible for what happens under your account.
- Workspaces. A workspace belongs to the organisation that created it. Its owner and admins decide who joins, which computers share documents, and what each person may see.
- Access levels. Each person has a role and an access level, and admins can write rules that set the level of documents. TiDani only uses documents at or below a person’s level to answer that person. Setting levels and rules correctly is the workspace’s responsibility.
- Inviting people. Admins may invite only people who are entitled to use the workspace for the organisation. Invitation links are secret; share them only with the person invited.
- Owners and admins are responsible for the people they invite, the computers and documents they connect, and for removing access when someone leaves.
3. Acceptable use
You must not:
- break the law, or use the service to infringe anyone’s rights, including privacy and intellectual-property rights;
- connect documents you are not allowed to use for this purpose, or use the service to get around your organisation’s own access rules;
- try to read data you are not entitled to, probe or break our security, or test it without our permission (see section 9);
- overload, disrupt or reverse-engineer the service, except where the law allows this;
- use the service to build a competing product, or resell it, without our written agreement;
- send malware, spam or harmful content through the service.
[ANY FURTHER RESTRICTIONS, FOR EXAMPLE ON HIGH-RISK USES: TO BE SET WITH LEGAL ADVICE.]
4. Your content
Your files, your questions and the answers you receive are “your content”. You keep all rights in your content. You give us only the permission we need to operate the service for you: to send questions to your computers, pass the matching passages to our AI model, make answers, keep your chat history, and the other uses described in our privacy policy. We do not use your content to train or fine-tune any AI model.
Answers are produced by AI and can be wrong or incomplete. Check important answers against their sources before relying on them.
5. The software
- Desktop app licence. While you have access to the service, we give you a personal, non-exclusive, non-transferable licence to install and use the desktop app for the service. [LICENCE SCOPE, E.G. NUMBER OF DEVICES: TO BE CONFIRMED.]
- Updates. We may release updates, and some features may need the latest version.
- Third-party components. The app includes open-source components and open-weight AI models, each under its own licence. [WHERE THE LIST OF THIRD-PARTY LICENCES IS PUBLISHED.]
- We keep all rights in the service and the software that these terms do not give you.
6. Availability and changes to the service
We work to keep the service available, but it may be interrupted, for example for maintenance or by problems with our providers. We may change, add or remove features. [SERVICE LEVELS, IF ANY, AND NOTICE OF MATERIAL CHANGES: TO BE SET WITH LEGAL ADVICE.]
7. Fees and plans
- Prices. Plans and prices are shown on our pricing page. [PRICE]
- Billing. [BILLING TERMS: BILLING PERIOD, PAYMENT METHOD, PAYMENT PROVIDER, LATE PAYMENT.]
- Taxes. [TAXES: WHETHER PRICES INCLUDE TAX, AND WHO PAYS IT.]
- Changes to prices. [NOTICE PERIOD FOR PRICE CHANGES.]
- Cancellation and refunds. [CANCELLATION TERMS AND REFUND POLICY.]
8. Data protection
How we handle personal data is described in our privacy policy, with a plain-language summary on how TiDani handles your data. [DATA PROCESSING AGREEMENT FOR ORGANISATIONS, IF REQUIRED: TO BE SET WITH LEGAL ADVICE.]
9. Security
We protect the service as described in our privacy policy. If you find a security issue, report it to security@tidani.tech and give us a reasonable time to fix it before making it public. [VULNERABILITY DISCLOSURE TERMS, IF ANY.]
10. Suspension and termination
- You can stop using the service at any time. You can delete your account in the app. The account is kept for 30 days, during which signing in restores it, and is then permanently deleted. What is kept after that, and for how long, is set out in section 5 of the privacy policy.
- Workspace admins can remove people from the workspace.
- We may suspend or end access if these terms are seriously broken, if the law requires it, or to protect the service or other users. [NOTICE AND CURE PERIODS: TO BE SET WITH LEGAL ADVICE.]
- [WHAT HAPPENS TO PREPAID FEES ON TERMINATION.] Sections that by their nature should continue after termination continue.
11. Disclaimers and limitation of liability
[DISCLAIMERS: TO BE SET WITH LEGAL ADVICE.]
[LIMITATION OF LIABILITY: TO BE SET WITH LEGAL ADVICE.]
[INDEMNITIES, IF ANY: TO BE SET WITH LEGAL ADVICE.]
12. Governing law and disputes
These terms are governed by the law of [JURISDICTION]. [DISPUTE RESOLUTION AND COURTS: TO BE SET WITH LEGAL ADVICE.]
13. Changes to these terms
We may update these terms. We will tell workspace owners about material changes before they apply. [NOTICE PERIOD AND METHOD.] If you keep using the service after a change applies, the updated terms apply to you.
